By accessing or using the Verdana Health platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree to these terms, you may not use the platform. These terms apply to all visitors, users, and others who access or use the service.
Verdana Health is an integrative telehealth marketplace that connects patients with licensed healthcare providers and wellness specialists. We facilitate scheduling, messaging, and care coordination. We do not provide medical advice, diagnosis, or treatment directly — those services are provided by independent providers on the platform.
Providers on the platform are independent contractors, not employees or agents of Verdana Health. We do not control the quality, appropriateness, or outcomes of care provided by individual providers. Any provider-patient relationship is directly between you and the provider. We facilitate the connection but are not a party to the clinical relationship.
You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must be at least 18 years old to use the platform. You agree to notify us immediately of any unauthorized access or security breach.
The platform is not intended for emergency medical situations. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room. The information and services on the platform are not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider with any questions you may have regarding a medical condition.
Fees for provider services are displayed before booking and are charged at the time of scheduling. Consultation fees are typically non-refundable if the appointment is cancelled with less than 24 hours notice. Subscription and program fees are billed according to the terms displayed at signup. HSA and FSA cards may be used where eligible.
All content on the platform — including text, graphics, logos, and software — is the property of Verdana Health or its licensors and is protected by copyright and other intellectual property laws. You may not reproduce, modify, distribute, or create derivative works from any content without our express written permission.
To the fullest extent permitted by law, Verdana Health and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the platform. Our total liability for any claim arising from or relating to the platform shall not exceed the amount you paid to us in the twelve months preceding the claim.
You agree to indemnify and hold harmless Verdana Health and its affiliates, officers, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the platform, your violation of these terms, or your violation of any rights of a third party.
These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved exclusively in the state or federal courts located in Delaware.
We may modify these terms at any time. We will provide notice of material changes by posting an updated version on the platform or sending you an email. Your continued use of the platform after changes constitutes acceptance of the updated terms.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these terms. Upon termination, your right to use the platform will immediately cease. Provisions that by their nature should survive termination shall survive.
